Agreement to Terms
These Terms and Conditions ("Terms", "Terms and Conditions", "Agreement") constitute a legally binding agreement between you ("You", "Your", "User", "Merchant", "Developer") and Coinsaylor Solutions ("Coinsaylor Solutions", "SaylorPay", "we", "us", "our") governing your access to and use of the SaylorPay mobile application, website, APIs, and all related services.
BY REGISTERING FOR, DOWNLOADING, INSTALLING, ACCESSING, OR USING OUR PRODUCT AND/OR SERVICE(S) IN ANY MANNER, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPT THIS AGREEMENT AND ALL OTHER OPERATING RULES, POLICIES, AND PROCEDURES IT REFERS TO, INCLUDING OUR PRIVACY POLICY. ONCE ACCEPTED, THIS AGREEMENT SHALL CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND US.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR PRODUCT OR SERVICE(S).
1. Definitions
For the purposes of this Agreement:
- "Company" refers to Coinsaylor Solutions
- "SaylorPay" refers to Coinsaylor Solutions and all its products and services
- "Product" or "App" refers to the SaylorPay mobile application
- "Website" refers to https://saylorpay.com
- "Service(s)" refers collectively to the App, Website, APIs, integrations, and all accessible features and functionalities provided by SaylorPay
- "User" or "App User" refers to any individual using the SaylorPay mobile application
- "Merchant" or "Developer" or "API User" refers to any individual or legal entity using SaylorPay's API, integrations, or merchant services
- "You" or "Your" refers to the User, Merchant, Developer, or any person or entity accessing or using our Service(s)
- "Account" means a unique account created for you to access our Service(s) or parts of our Service(s)
- "Device" means any device capable of accessing our Product or Service(s), such as a computer, mobile phone, or digital tablet
- "Personal Data" means any information that relates to an identified or identifiable individual
- "Service Provider(s)" or "Network(s)" or "Mobile Network Operator(s)" refers to the supported network providers integrated with our App: MTN Ghana, Telecel Ghana, and AirtelTigo Ghana
- "USSD" refers to Unstructured Supplementary Service Data, a protocol used by mobile networks to communicate with service provider computers
- "Mobile Money" refers to mobile money services provided by the Service Providers
- "PIN" refers to Personal Identification Number used to authorize mobile money transactions
- "Usage Data" refers to data collected automatically, either generated by the use of our Service(s) or from the Service infrastructure itself
2. Introduction and Overview
2.1 Welcome to SaylorPay
SaylorPay is a mobile money automation platform operating in Ghana. We provide tools and services that facilitate mobile money transactions through USSD automation technology.
2.2 Scope of Services
SaylorPay operates through two primary offerings:
A. The SaylorPay Mobile Application (Consumer Product)
The SaylorPay App is a mobile application designed to automate USSD-based mobile money transactions and enable seamless peer-to-peer mobile money payments. The App includes:
- QR Code Scanner and Generator: For initiating and receiving payments
- USSD Automation Engine: For automating mobile money transactions
- SMS Transaction Toolkit: For managing and tracking mobile money SMS notifications
- Optional SMS Forwarding Toolkit: User-configurable message forwarding functionality
Using the SaylorPay App, users can:
- Generate unique SaylorPay QR codes to receive payments
- Scan unique SaylorPay QR codes to make payments
- Send money across all supported networks
- Withdraw money across all supported networks
- Buy airtime and data bundles across all supported networks
- Check mobile money, MomoPay, airtime, and mobile data balances
- Make bulk payments across all supported networks
- Initiate self-transfers on merchant SIMs
- Perform other supported USSD mobile money services
How It Works: The App automates the USSD dial and input process up to the point where you are required to input sensitive information, such as your mobile money PIN, to authorize the transaction. At no point does SaylorPay access, transmit, or store your PIN.
B. The SaylorPay API Service (Merchant/Developer Service)
SaylorPay offers a merchant-facing API integration service that allows online merchants and developers to embed SaylorPay's USSD automation into their checkout process, payment flows, or business applications.
When a customer selects mobile money as their payment method:
- The Merchant's website, online store, or app triggers the SaylorPay API
- If the customer has the SaylorPay App installed, the App initiates the payment process by dialing the relevant USSD code based on the customer's and merchant's mobile network providers
- The USSD transaction proceeds automatically up to the PIN entry stage
- The customer enters their mobile money PIN manually to authorize the payment
- The payment is sent directly to the Merchant's mobile money account
2.3 Geographic Scope
SaylorPay currently operates exclusively in Ghana and supports mobile money services from:
- MTN Ghana
- Telecel Ghana
- AirtelTigo Ghana
3. Critical Clarifications About Our Service
3.1 We Are NOT a Payment Gateway
It is essential to understand that SaylorPay is not a traditional payment gateway or payment processor. Unlike conventional payment gateways:
SaylorPay does NOT:
- Collect, hold, process, or store any money on behalf of merchants, developers, or users
- Act as an intermediary between the payer and payee in financial transactions
- Provide settlement, reconciliation, or escrow services
- Send transaction approval prompts like conventional payment gateways
- Control, process, or retain sensitive payment data such as PINs, passwords, or mobile money account details
- Guarantee transaction completion or success
- Handle disputes between merchants and customers regarding payment amounts or delivery of goods/services
What SaylorPay Does: Our App and Service facilitate the transaction initiation process by automatically dialing and executing USSD payment sequences on the user's mobile device. We are an automation tool, not a financial intermediary.
3.2 We Are a Payment Facilitator
SaylorPay acts as a payment facilitator (NOT a payment gateway) for merchants and developers by providing:
- An API integration that connects their website, online store, or app to the user's mobile money USSD environment
- An automated USSD payment initiation experience, reducing friction and lowering operational costs compared to traditional payment gateway solutions
- Transaction status updates and logging for reconciliation purposes
In This Capacity:
- Funds are sent directly from the customer to the merchant via the mobile network operator's mobile money system
- We do not handle, intermediate, or have access to the funds at any point in the transaction
- Merchants are responsible for their mobile money accounts and for receiving payments made through our automated system
- Merchants pay a service fee to SaylorPay only when they make API calls to our server
3.3 Non-Custodial Nature
SaylorPay does not hold user funds at any time. All funds remain in your mobile money account, which is managed by your mobile network operator. We cannot access, freeze, reverse, or manipulate your mobile money balance or transactions.
4. Eligibility and Account Requirements
4.1 Eligibility
To use SaylorPay, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Have an active mobile money account with a supported Service Provider (MTN, Telecel, or AirtelTigo Ghana)
- Have a compatible Android device (for App users)
- Reside in Ghana or have a Ghanaian mobile number
- Not be prohibited from using our Service(s) under applicable laws or regulations
4.2 Account Registration
For App Users:
- You may be required to sync your phone number with the App to access certain features
- You are responsible for maintaining the confidentiality of your account credentials
- You must provide accurate and complete information during registration
For Merchants/Developers:
- You must complete our onboarding process, including identity verification (KYC/KYB)
- You must provide accurate business information, contact details, and mobile money account information
- You may be required to provide business registration documents and comply with Anti-Money Laundering (AML) requirements
- You must agree to our API terms and pricing structure
4.3 Account Security
You are responsible for:
- Maintaining the security and confidentiality of your account login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Using strong passwords and enabling any available security features
We reserve the right to suspend or terminate accounts that we suspect have been compromised or are being used for unauthorized purposes.
5. User Responsibilities and Obligations
5.1 For App Users
As a user of the SaylorPay mobile application, you agree to:
General Responsibilities:
- Use the App in compliance with all applicable local laws, mobile money regulations, and mobile network operator terms of service
- Ensure that your mobile money account is active and has sufficient balance to complete transactions
- Provide accurate information when using the App
- Not use the App for any illegal, fraudulent, or unauthorized purposes
Transaction Responsibilities:
- You are solely responsible for entering your correct mobile money PIN when prompted to authorize transactions
- You understand and acknowledge that SaylorPay does not store, access, or transmit your PIN
- You are responsible for verifying transaction details (recipient number, amount, network) before authorizing any transaction
- You acknowledge that once a mobile money transaction is authorized with your PIN, it cannot be reversed by SaylorPay
- You agree to resolve any transaction disputes directly with the recipient or your mobile network operator
Device and Permissions:
- You are responsible for granting appropriate permissions (SMS, Phone, Accessibility Services, etc.) for the App to function properly
- You understand that denying certain permissions may limit or prevent the App's functionality
- You must keep your device secure and prevent unauthorized access to the App
- You agree to keep the App updated to the latest version when possible
Prohibited Uses:
- You must not use the App to conduct fraudulent transactions or money laundering
- You must not attempt to reverse engineer, decompile, or extract the source code of the App
- You must not use the App to violate any person's or entity's rights, including intellectual property rights
- You must not use automated scripts or bots to interact with the App
- You must not use the App in any way that could damage, disable, overburden, or impair our servers or networks
5.2 For Merchants and Developers
As a merchant or developer using the SaylorPay API Service, you agree to:
Payment and Account Management:
- You, not SaylorPay, receive payments directly into your designated mobile money wallet
- You are solely responsible for managing your mobile money account, including monitoring received payments
- You agree to maintain adequate records of all transactions processed through our Service
- You are responsible for reconciling payments received through SaylorPay with your business records
Customer Communication:
- You agree to clearly inform your customers during checkout that payments are made via mobile money using a USSD process facilitated by the SaylorPay App
- You must provide accurate payment information to your customers
- You are responsible for customer service and support related to your products or services
- You agree to handle all customer disputes, refunds, and chargebacks in accordance with your own policies and applicable laws
Fees and Compliance:
- You agree to pay the agreed service fees for using SaylorPay's API integration as outlined in our pricing documentation
- You acknowledge that SaylorPay does not guarantee 100% payment success; completion depends on network availability, user device, user input, and mobile money system functionality
- You agree to comply with all applicable laws, including data protection, consumer protection, and financial regulations
- You must not use our Service for illegal activities, including fraud, money laundering, or terrorist financing
API Usage:
- You must use the API in accordance with our API documentation and guidelines
- You must not exceed rate limits or abuse the API
- You must implement appropriate error handling and timeout mechanisms
- You are responsible for securing your API keys and credentials
- You must notify us immediately if your API credentials are compromised
Data Protection:
- You acknowledge that when you share customer data with SaylorPay for transaction processing, you are the data controller and must have appropriate legal basis and customer consent
- You agree to comply with all applicable data protection laws when using our Service
- You must not use our Service to process payments for illegal goods or services
6. Fees and Payment Terms
6.1 For App Users
- The SaylorPay App is free to download and use
- Standard mobile money transaction fees charged by your mobile network operator apply to all transactions
- These network operator fees are not controlled by SaylorPay and are charged directly by your Service Provider
6.2 For Merchants and Developers
- Merchants and developers are charged service fees for using the USSD automation Service via our API
- Fees are based on API usage as agreed upon during onboarding and as outlined in our API pricing documentation

- All fees are non-refundable unless otherwise specified in our Refund Policy
- We reserve the right to modify our pricing structure with 30 days' advance notice to active merchants and developers
- Failure to pay fees may result in suspension or termination of your API access
6.3 Refund Policy

7. Service Availability and Limitations
7.1 Technology Limitations
While we strive to provide a smooth and reliable USSD automation experience, you acknowledge and agree that certain factors beyond our control may affect service performance and availability, including but not limited to:
Network and Infrastructure:
- Mobile network operator availability, signal strength, or service disruptions
- USSD system downtime or maintenance by Service Providers
- Internet connectivity issues
- Server maintenance or upgrades
Device and User Factors:
- Device compatibility issues or operating system limitations
- User input errors (e.g., incorrect PIN entry, wrong recipient number)
- Insufficient mobile money balance
- Device security settings that restrict app functionality
- Outdated app versions
Service Provider Issues:
- Mobile money system capacity limitations
- Transaction processing delays by mobile network operators
- Changes to USSD menu structures by Service Providers
- Temporary suspension of mobile money services by regulatory authorities
7.2 No Guarantee of Availability
We do not guarantee that:
- The App or Service will be available at all times or without interruption
- The App or Service will be error-free or bug-free
- All transactions initiated through our system will be completed successfully
- Transaction processing times will be consistent or immediate
- The Service will be compatible with all devices or operating systems
7.3 Scheduled and Emergency Maintenance
We reserve the right to:
- Perform scheduled maintenance with advance notice when possible
- Conduct emergency maintenance without notice when necessary to protect service integrity or security
- Temporarily suspend or restrict access to the App or Service during maintenance periods
8. Data, Privacy, and Security
8.1 Privacy Commitment
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
SaylorPay does NOT share the following with third parties:
- Mobile money account numbers
- PIN codes
- Mobile money passwords
- Transaction values or amounts
- USSD response details
- Personal SMS conversations

8.2 Information Security
We implement reasonable administrative, technical, and physical security measures designed to protect your personal information. However, you acknowledge that:
- No method of transmission over the internet or electronic storage is 100% secure
- We cannot guarantee absolute security of your data
- You are responsible for maintaining the security of your device and account credentials
- You should use strong passwords and enable device security features
8.3 Your Security Responsibilities
You agree to:
- Keep your account credentials confidential
- Use strong, unique passwords for your SaylorPay account
- Enable two-factor authentication if available
- Protect your mobile device with a password or biometric lock
- Keep your mobile money PIN confidential and never share it with anyone, including SaylorPay staff
- Notify us immediately if you suspect unauthorized access to your account
- Log out of your account when using shared or public devices
9. Intellectual Property Rights
9.1 SaylorPay Ownership
All intellectual property rights in the App, Website, Service, APIs, and all related content, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by Coinsaylor Solutions, its licensors, or other providers of such material and are protected by Ghana and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
9.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Download and install the App on your personal device
- Access and use the App and Service for your personal or internal business purposes
- Access and use our API in accordance with our API documentation (for merchants and developers)
9.3 Restrictions
You may not:
- Copy, modify, distribute, sell, or lease any part of our Service or included software
- Reverse engineer, decompile, or attempt to extract the source code of our software
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) from the App or Service
- Use our trademarks, logos, or brand elements without our prior written consent
- Create derivative works based on the App or Service
- Use the Service to develop a competing product or service
- Frame or mirror any part of the Service without our prior written authorization
9.4 Trademarks
"SaylorPay," the SaylorPay logo, and other SaylorPay trademarks, service marks, graphics, and logos used in connection with our Service are trademarks or registered trademarks of Coinsaylor Solutions. Other trademarks, service marks, graphics, and logos used in connection with our Service may be the trademarks of their respective owners. You are granted no right or license with respect to any of these trademarks.
9.5 Feedback
If you provide us with any feedback, suggestions, or ideas about the App or Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to compensate you.
10. Disclaimers and Warranties
10.1 "AS IS" Basis
YOUR USE OF SAYLORPAY'S PRODUCT AND SERVICE(S) IS AT YOUR OWN RISK. THE APP, WEBSITE, SERVICE, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAYLORPAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS
- TITLE
- ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
- AVAILABILITY, SECURITY, OR OPERATION WITHOUT INTERRUPTION OR ERROR
10.2 Specific Disclaimers
We do not warrant or guarantee that:
- The App or Service will meet your specific requirements or expectations
- The App or Service will be available at all times, uninterrupted, timely, secure, or error-free
- The results obtained from use of the App or Service will be accurate or reliable
- The quality of any products, services, information, or other material obtained through the Service will meet your expectations
- Any errors or defects in the App or Service will be corrected
- The App or Service will be compatible with all devices or operating systems
- Transaction processing will always be successful or completed within a specific timeframe
- Mobile network operators will accept or complete transactions initiated through our Service
10.3 No Financial Advice
SaylorPay does not provide financial, investment, tax, or legal advice. Any information provided through our Service is for informational purposes only and should not be relied upon as advice. You should consult with appropriate professionals before making financial decisions.
10.4 Third-Party Services
Our Service may contain links to third-party websites or rely on third-party services (including mobile network operators). We do not endorse, warrant, or assume responsibility for any third-party websites, services, or products. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
10.5 System Compatibility
You are responsible for:
- Ensuring your device and operating system are compatible with the App
- Configuring your information technology, device, and platform to access our Service
- Using appropriate virus protection software
- Maintaining adequate data backup
We cannot guarantee that our Service will be free from viruses, bugs, or other harmful components.
11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAYLORPAY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR USE
- LOSS OF BUSINESS OPPORTUNITIES OR GOODWILL
- SERVICE INTERRUPTION OR SYSTEM FAILURE
- COST OF SUBSTITUTE PRODUCTS OR SERVICES
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
WHETHER SUCH LIABILITY ARISES FROM CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SAYLORPAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Cap on Liability
TO THE EXTENT PERMITTED BY LAW, SAYLORPAY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO SAYLORPAY IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR
- GHS 100 (ONE HUNDRED GHANA CEDIS)
11.3 Basis of the Bargain
You acknowledge and agree that the disclaimers and limitations of liability set forth in these Terms reflect a reasonable and fair allocation of risk between you and SaylorPay, and that these limitations are an essential basis of SaylorPay's ability to make the Service available to you on an economically reasonable basis.
11.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations set forth above may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
12. Indemnification
12.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Coinsaylor Solutions (SaylorPay), its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and legal costs) arising from or relating to:
Your Conduct:
- Your use or misuse of the App or Service
- Your violation of these Terms or any applicable laws or regulations
- Your violation of any rights of another person or entity, including intellectual property rights, privacy rights, or contractual rights
Your Content and Transactions:
- Any content you submit, post, or transmit through the Service
- Any transactions you initiate or authorize through the Service
- Any disputes between you and other users, merchants, customers, or third parties
- Your failure to obtain proper consents or permissions required by law
Security Breaches:
- Any unauthorized access to your account due to your failure to maintain account security
- Your sharing of account credentials with unauthorized persons
Merchant/Developer Specific:
- For merchants and developers: your relationship with your customers, including disputes over goods, services, refunds, or payment processing
- Any claims that your use of the Service infringes upon or violates any third-party rights
- Your failure to comply with applicable business, tax, or regulatory requirements
12.2 Indemnification Process
SaylorPay reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate in asserting any available defenses. You may not settle any claim subject to this indemnification provision without SaylorPay's prior written consent.
13. Prohibited Conduct and Acceptable Use
13.1 Prohibited Activities
You agree NOT to use the App or Service to:
Illegal Activities:
- Engage in any illegal, fraudulent, or criminal activity
- Facilitate money laundering, terrorist financing, or other financial crimes
- Violate any local, national, or international law or regulation
- Process payments for illegal goods or services
Fraudulent Conduct:
- Conduct fraudulent transactions or payment schemes
- Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
- Use false, misleading, or deceptive information
- Create multiple accounts to circumvent restrictions or abuse promotions
System Abuse:
- Attempt to gain unauthorized access to our systems, other user accounts, or computer networks
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use any robot, spider, scraper, or other automated means to access the Service
- Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material
- Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App
- Circumvent or manipulate our fee structure or billing process
Harmful Content:
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or racially or ethnically objectionable
- Transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation
Rights Violations:
- Infringe upon the intellectual property rights, privacy rights, or other rights of SaylorPay or any third party
- Collect or harvest personal information about other users without their consent
13.2 Consequences of Prohibited Conduct
If you engage in any prohibited conduct, we reserve the right to:
- Suspend or terminate your access to the App or Service immediately
- Remove or disable any content or transactions
- Report your conduct to law enforcement authorities
- Take legal action against you, including seeking monetary damages
- Cooperate with law enforcement investigations
14. Termination and Suspension
14.1 Termination by You
You may stop using the App or Service at any time by:
- Uninstalling the App from your device
- Closing your account (where applicable)
- Discontinuing use of our API (for merchants and developers)
For merchants and developers, you must provide written notice if you wish to formally terminate your API service agreement.
14.2 Termination or Suspension by SaylorPay
We reserve the right to suspend or terminate your access to the App or Service, with or without notice, for any reason, including but not limited to:
Breach of Terms:
- Violation of any provision of these Terms
- Violation of our Privacy Policy or other policies
- Providing false, inaccurate, or misleading information
Prohibited Activities:
- Use of the App or Service for illegal, unauthorized, fraudulent, or unethical activities
- Abuse of the Service or attempts to harm our systems or other users
- Failure to pay fees (for merchants and developers)
Risk Management:
- Suspicious or unusual account activity
- High-risk transactions or patterns
- Actions that negatively impact other users, merchants, or the operation of the SaylorPay system
Regulatory Requirements:
- Requests from law enforcement or regulatory authorities
- Compliance with legal obligations or court orders
Inactivity:
- Extended periods of account inactivity (we will provide notice when possible)
14.3 Effect of Termination
Upon termination of your account or access:
- Your right to use the App and Service immediately ceases
- We may delete or deactivate your account and all related information and files
- You remain liable for any outstanding fees or obligations incurred prior to termination
- Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions
14.4 No Liability for Termination
You agree that SaylorPay shall not be liable to you or any third party for any termination or suspension of your access to the Service, except as expressly provided in these Terms or required by applicable law.
15. Dispute Resolution Between Users and Merchants
15.1 Transaction Disputes
SaylorPay is NOT responsible for resolving disputes between:
- App users and merchants regarding payments
- Merchants and their customers regarding goods or services
- Users and mobile network operators regarding mobile money transactions
- Any parties regarding transaction amounts, delivery, quality, or fulfillment
15.2 Resolution Process
If a dispute arises:
- You must first attempt to resolve the dispute directly with the other party
- For transaction-related issues, contact your mobile network operator's customer service
- For merchant disputes, follow the merchant's refund or dispute resolution policy
- SaylorPay may provide transaction records or logs to assist in resolution, but we do not mediate or arbitrate disputes
15.3 SaylorPay's Role
SaylorPay may, at our sole discretion:
- Provide transaction history or records to assist with dispute resolution
- Cooperate with investigations by mobile network operators or authorities
- Temporarily suspend accounts involved in disputes pending resolution
However, we are under no obligation to do so and any assistance we provide does not constitute an admission of liability or responsibility for the dispute.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.
16.2 Jurisdiction and Venue
For Disputes Between You and SaylorPay:
Any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the courts of Ghana. You waive any objection to the jurisdiction of such courts or venue in such courts.
16.3 Informal Dispute Resolution
Before initiating any formal legal proceedings against SaylorPay, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes through good faith negotiations within 30 days of receiving your notice.
16.4 Waiver of Class Actions
TO THE EXTENT PERMITTED BY LAW, YOU AND SAYLORPAY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17.1 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and any other policies or guidelines referenced herein, constitute the entire agreement between you and SaylorPay regarding your use of the Service and supersede any prior agreements, understandings, or arrangements between you and SaylorPay, whether oral or written.
17.2 Amendments and Updates
We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. When we make changes, we will:

- Post the revised Terms on our Website and/or in the App
- Notify you of material changes through the App, email, or other reasonable means
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
17.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
17.4 Waiver
No waiver by SaylorPay of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by SaylorPay to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
17.5 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder, in whole or in part, without SaylorPay's prior written consent. Any attempted assignment, transfer, or delegation without such consent shall be null and void.
SaylorPay may assign, transfer, or delegate these Terms or our rights and obligations hereunder, in whole or in part, without your consent, including in connection with any merger, acquisition, reorganization, or sale of assets.
17.6 Force Majeure
SaylorPay shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, or severe weather
- War, terrorism, riots, or civil unrest
- Government actions, laws, regulations, or court orders
- Labor strikes or disputes
- Internet or telecommunications failures
- Power outages or utility failures
- Mobile network operator service disruptions
- Pandemics or public health emergencies
17.7 No Agency Relationship
No agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship is intended or created by these Terms. You have no authority to bind SaylorPay in any way.
17.8 Third-Party Beneficiaries
These Terms are for the benefit of you and SaylorPay only and are not intended to confer any rights upon any third party, except as explicitly stated herein (such as indemnified parties).

19. Mobile Network Operator Relationship
19.1 Independent Service
SaylorPay is an independent service provider and is not affiliated with, endorsed by, or sponsored by MTN Ghana, Telecel Ghana, AirtelTigo Ghana, or any other mobile network operator.
19.2 Network Operator Terms
Your use of mobile money services is subject to the terms and conditions of your mobile network operator. We encourage you to review and comply with your network operator's terms of service.
19.3 Network Operator Fees
All mobile money transaction fees charged by your network operator are separate from any fees charged by SaylorPay. We do not control, set, or receive any portion of network operator transaction fees.
19.4 Service Provider Limitations
SaylorPay's Service depends on the availability and functionality of mobile network operators' USSD and mobile money systems. Changes made by network operators to their systems, menu structures, or policies may affect SaylorPay's functionality. We are not responsible for any disruptions caused by network operator changes or decisions.
20. Compliance and Regulatory Matters
20.1 Know Your Customer (KYC) and Anti-Money Laundering (AML)
